Biography
Joe Babitz is an associate in the Firm’s Corporate and Finance Transactions department. His practice focuses on representing financial institutions, investment banks, private equity sponsors, funds and corporate borrowers in connection with secured and unsecured syndicated credit facilities, direct lending transactions, corporate borrowings and leveraged acquisitions, both domestic and global.
Joe began his legal career as an associate in New York at another international law firm. He previously received his J.D. from the University of Virginia School of Law and his B.B.A. in Finance and Business Management from the University of Miami. During law school, he interned for the United States District Court in St. Louis, MO, was on the Editorial Board for the Virginia Law and Business Review, and held a position on the Moot Court Team.

Experience
- Advised Priority 1 X LLC and its affiliates (collectively, “Priority 1”), on a cross-border multidisciplinary bond offering for the aggregate amount of $230 million USD, which include a restructuring of Priority 1’s main credit facility provided by BlackRock, Inc. (“BlackRock”) and its U.S. holding companies.
- Representation of a direct lender in a bilateral facility extended to a leading provider of managed IT services in connection with a senior secured credit facility, the proceeds of which were used for refinancing existing indebtedness and increased liquidity for future acquisitions.
- Assisted in advising Enesco in connection with two transactions: a sale of 100% of the equity of Enesco Holdings, LLC, to an affiliate of NECA, and a sale of the assets of Enesco Properties, LLC, d/b/a Things Remembered, related to its non-retail store business, to an affiliate of 1-800-FLOWERS.COM, Inc.
- Representation of a national bank in its role as administrative agent and lead arranger in a USD$160 million syndicated cash-flow revolving credit facility to a regional retail chain in the farming and equipment industry.
- Advised an ESG Focused and Technology Enabled Lending Platform with a $10M revolving credit facility to a Midwest based industry-leading, plastic injection molder parts manufacturer.
