BCLP represents Enesco in two major transactions
Jan 27, 2023An extensive cross-firm, multi-practice team from international law firm BCLP advised Enesco, a portfolio company of firm client Balmoral Funds, in connection with two recent transactions.
The first transaction was structured as a sale of 100% of the equity of Enesco Holdings, LLC, a collectibles designer and distributor, to Ad Populum, LLC. Ad Populum owns NECA, a leading manufacturer and distributor of licensed collectible items, among other companies and brands. Atalaya Capital Management LP is an investing partner of Ad Populum.
This transaction signed and closed on Dec. 31, 2022. BCLP’s Corporate Transactions team was led by Michael Schwartz, Aristotle Butler and Luke Tepen.
The second transaction was structured as a sale of substantially all of the assets of Enesco Properties, LLC (doing business as Things Remembered) related to its non-retail store business to an affiliate of 1-800-FLOWERS.COM, Inc.
The Things Remembered transaction signed and closed on Jan. 10, 2023. This BCLP Corporate Transactions team was led by Michael Schwartz, Dylan Fehl and Taylor Flynn.
The terms of both deals are confidential.
