Biography
David is a Partner in the UAE Real Estate and Commercial Team and a veteran practitioner with over 30+ years’ experience of legal practice experience across the UK and the Middle East. In addition to 5 years’ accountancy experience within banking & construction.
David has worked on a wide range of matters over the years which touch on real estate as an asset class, including innovative finance and funds arrangements, joint ventures and co-investment structures, business acquisitions, debt finance arrangements, corporate transactions, real estate developments and a variety of commercial agreements (including hotels).
David is frequently ranked in Legal 500 and Chambers & Partners legal directories, recognised for his knowledge on UAE law. He is an associate of the Chartered Institute of Arbitrators (CIA) holding a diploma in International Arbitration.

Experience
- Action Hotels - Advised on various joint venture/partnering structures for new developments in the UAE, including local/non-national co-investments under a corporate ‘wrapper’ (under non-national control), employing Opco/Propco structures for development activities. Advising on ‘template’ hotel management agreements, and a wide range regulatory and management issues. Due to multiple jurisdictions & multiple Action hotels there were challenges keeping the project teams working in synch.
- TDIC Saadiyat development - Advised on a large scale (15sq km) mixed-use development of land for a privately developed island project (Saadiyat Island). This was a significantly complex transaction which included the drafting of all of the development, sale and purchase documentation and plot sales for the Island (as well as other related projects).
- The District Shopping Centre - A unique and rare deal involving a complex joint venture arrangement under which a government-backed developer partnered with a private overseas fund to provide the finance in relation to the development of a major new ‘regional’ shopping centre in a key and high-profile location in Abu Dhabi city.
- Abu Dhabi United Hospitality - Advised on the Saadiyat island hotel transaction sale and purchase by a privately owned investment vehicle. It was a unique large scale, complex and difficult deal due to simultaneous renegotiations with Starwood.
- Emirates Palace - Advised on the renegotiation of the management agreement with Kempinski Hotels for the management of the Emirates Palace. A difficult, high profile, technically challenging project due to the tight timescale and the expiry of the management agreement.
