Overview

The oil and gas industry continues to present significant and varied challenges to industry participants as the oil price, geo politics, technology and applicable regulation constantly affect the business environment. Our extensive international track record and familiarity with the issues and trends in the sector enables our team to give clear, informed legal advice together with practical solutions whether you are considering a complex project, a one off transaction, adhering to regulatory demands or dealing with a dispute. 

We have a long history of bringing together lawyers to provide integrated advice to our oil and gas clients, pulling together experience from across the various disciplines.  Our extensive oil and gas experience includes a very wide range of oil and gas transactions and our clients range in size from major oil and gas companies and NOCs to smaller independent oil and gas companies and Governments. 

We have an in-depth understanding of the technical issues unique to oil and gas developments, financings, acquisitions, development agreements, operations (both onshore and offshore); the fundamentals of the world markets and trading of oil and gas, sales and transportation agreements; oil refineries, gas plants and other processing facilities; gas storage; natural gas gathering systems and oil and natural gas pipelines. 

In addition to assisting clients with large acquisitions, disposals, joint ventures, financing transactions and construction projects, we also support our oil and gas clients with day-to-day operational matters, including concessions (PSCs), leasing arrangements, drilling contracts, JV disputes, restructurings, assignments, operating agreements, farm-out and farm-in agreements, development agreements and participation agreements.  

Our lawyers have participated in the drafting of many of the standard forms for oil and gas companies used and widely accepted in the industry today.

Experience

  • Advised an independent oil and gas company on the development of oil and gas projects in Egypt, including gas sales and transportation agreements; and on a farm-in to onshore Tanzania. 
  • Advised a leading European energy company on all aspects of its upstream, midstream and downstream oil and gas business including its applications for blocks in recent bid rounds, including negotiations in relation to the concession arrangements, joint study and bidding arrangements and JOAs following success. 
  • Represented an exploration and development company in the $500mm financing for the purpose of acquisition and development of oil and gas properties in the Eagle Ford play in Texas. 
  • Represented an oil & gas company in relation to the $800mm+ disposal of a group of companies owning oil & gas assets in North Africa to a Chinese state owned buyer. 
  • Advised a global energy group on joint venture arrangements in the Kingdom of Saudi Arabia for the development, design, construction and management of petrol service stations. 
  • Advised a private oil and gas exploration and production company on its US$1.2bn sale of gas assets in North Dakota and Montana to the subsidiary of an international oil and gas exploration and production company. The sale included a substantial number of producing and non-producing oil and gas properties in the Bakken and Three Forks shale plays. 
  • Advised a private oil and gas company on the US$946m sale, to a petroleum company, of producing oil and gas properties and related development acreage and midstream assets in Mesa County, Colorado. 
  • Advised a private oil and gas exploration and production company on its US$900mm sale of gas assets in Pennsylvania, Ohio and New York.  The sale included a substantial number of producing and non-producing oil and gas properties in the Utica and Marcellus shale plays. 
  • Represented a client in the purchase, financing and sale of three oil refineries in Colorado, New Mexico and Oklahoma. 
  • Acted for a major company in relation to process engineering claims arising out of the engineering, procurement and construction of an ethylene plant in China. 
  • Represented existing refiner in the purchase of and combination with another refinery for a combined capacity of 98,000 barrels-per-day. 
  • Advised on the Nabucco Gas Pipeline, an international cross-border gas pipeline project, on a range of matters relating to the ownership of the pipeline assets and optimisation of the anticipated corporate structure. 
  • Represented an independent energy company as a plaintiff in connection with a lawsuit brought against a Colorado city and county, whose voters passed a referendum banning fracking, after having approved our client’s plans to drill wells within the county using fracking. 
  • Advised the government of an African country on the development of a regulatory framework for upstream oil and gas investments, the drafting of a model production sharing agreements and a toolkit for the use of the agreement as well as a five day training course. 
  • Advised in an ICC arbitration in relation to a dispute in connection with the Qusahwira Oil Field in the UAE. This dispute included issues relating to an alleged wrongful termination and call on an on-demand bond as well as severe delay and disruption leading to a claim for a significant extension of time and additional costs.
