Overview

Bryan Cave Leighton Paisner’s software, cloud subscription & systems integration team primarily advises purchasers and licensees of software and related services. The transactions we handle include software licensing arrangements, systems integration arrangements, cloud subscriptions, and software development and maintenance arrangements.

The scope of the practice spans the full spectrum of deployment models, from software as a service (SaaS) arrangements, infrastructure as a service (IaaS), and platform as a service (PaaS) and other arrangements, to traditional software license and support arrangements (whether deployed in a traditional or XaaS model) along with the systems integration and support arrangements that accompany complex software deployment projects.

Our software, cloud subscription & systems integration team regularly advises clients on their most strategic enterprise resource planning (ERP) and other strategic software licensing, subscription and systems integration arrangements, as well as cloud migrations for those platforms and structures. We negotiate contractual arrangements to drive leverage  and deliver clients’ business requirements and desired outcomes. Equally as important to our clients as the legal advice we offer, we also provide advisory services related to the development of negotiation leverage, deal structure and commercial terms, and market terms and positions.
