Biography

Vishal Mawkin is a partner in the firm’s Finance Transactions Practice Group. He focuses on Debt Capital Markets - representing issuers and underwriters across a broad range of sectors on English and New York law governed cross-border bond financings, including straight Reg S/Rule 144A offerings, EMTN programmes, high-yield debt offerings, project financings, green and sustainable financings and financial restructuring transactions.

Vishal is recognised by The Legal 500 UK and the International Financial Law Review as a 'Rising Star'and he is also ranked by Chambers and Partners UK. He is an English solicitor and New York attorney.

Straight debt and programmes

  • Represented various UK and European public companies in connection with debt programmes and bond issuances in engineering, telecommunications and energy sectors

  • Advised a sovereign bond issuer on the establishment of its first international bond programme and multi-billion US dollar public bond issuances
  • Represented DFIs with bond investments to finance green projects, infrastructure and digital development in emerging markets

  • Issuer counsel on secured and unsecured high-yield bond issuances for companies in leisure and renewables sectors
  • Advised the banks in connection with high-yield bond issuances for companies in manufacturing and packaging sectors

Financial restructurings

  • Represented a telco on its cross-border bond, debt finance and equity capital restructuring, including on recognition of the restructuring proceedings in US federal court
  • Advised a European bank on matters arising out of the bail-in of bondholders and depositors

Issuance of Reverse Yankee Bonds remains active

The sale of Reverse Yankee bonds by prominent US issuers – often with higher credit ratings – has recently continued at a rapid pace.  Reverse Yankee bonds are debt securities issued by US issuers that are denominated in a foreign currency, frequently in euros or sterling.  The Reverse Yankee bond market offers US issuers additional ways of obtaining debt financing on favourable terms.
