Biography
Steven Richardson represents a wide range of oil and gas, mining and power companies, financial institutions and investors in energy and natural resource transactions and projects, including:
- Mergers and acquisitions, private equity investments and financial institution investments in oil and natural gas exploration, development, production, gathering, transportation, processing and marketing, throughout the U.S.
- Exploration and development agreements, joint ventures, participation agreements, operating agreements, gas gathering, processing and marketing agreements, production payments, leasing, surface use agreements and other project development, financing and operational arrangements involving oil and gas projects on fee, federal, state and Indian lands.
- Project development, acquisition, financing and operations for renewable and conventional power projects including wind, solar, biomass, geothermal and landfill projects, natural gas generation projects, biodiesel, ethanol and other alternative fuels projects, including site acquisition, power purchase, interconnection and transmission agreements, construction contracts, warranty agreements, feedstock supply agreements, operating and maintenance agreements and financing arrangements.
- Entity structuring, formation and governance for operating and investment entities in the oil and gas, mining and power industries, including limited liability companies and partnerships with preferred return structures, profits interests and disproportionate allocations of tax benefits.
- Tax equity investors in renewable energy projects, including Class A/B "flip" structures and leasing structures, for wind, solar, biomass, landfill, synfuel and other projects.
CLIENT STORy
Steven advised American Electric Power (AEP), one of the USA’s largest electricity producers, on the acquisition of a significant portfolio of operating wind farms and development projects spanning seven states. BCLP’s solution helped AEP get this $1.05 billion deal over the line and take a major step towards achieving its renewables goal.
