BCLP advises Vantiva (formerly Technicolor) in its acquisition project of CommScope's Home Networks division
Oct 10, 2023Bryan Cave Leighton Paisner (BCLP) is advising Vantiva in reaching an agreement with CommScope to acquire its Home Networks business, in exchange for a 25% stake in Vantiva. CommScope's Home Networks division generates approximately $1.5 billion in revenue.
This strategic acquisition project holds transformative potential for Vantiva. Following the increase in Vantiva's share capital, CommScope would become the leading shareholder in Vantiva. BCLP is also assisting Vantiva (listed on Euronext Paris) in preparing for this issuance of new shares for the benefit of CommScope.
For this significant and multi-jurisdictional operation led by the firm's Paris office, over fifty BCLP lawyers are currently working on the project.
Given the number of jurisdictions involved, lawyers from each of the countries in which BCLP operates will be called upon to assist with the transaction.
BCLP is supporting Vantiva with a team in Paris consisting mainly of Jean-Patrice Labautière, Frédéric Jungels, partners, Armelle Royer, Clément Tavenard, senior associates, Maël Bobard and Eloïse Loiseau, associates, on M&A aspects; Julie Catala-Marty, partner, Rémi Beydon, counsel, and Paul Blin, associate, on Antitrust aspects; Pierre-Emmanuel Frogé, counsel, on IP-IT aspects and in the US mainly of Robert Lystad, Michael Delaney, David Ehrlich, Casey Glazer, and Griffin Davis.
