Bryan Cave Leighton Paisner (BCLP) is advising the shareholders of Imocom Partners, a management company specializing in retail parks, on the signing of a binding agreement with a view to its acquisition by Mercialys, one of the leading real estate companies in France and Europe, with expertise in the management, transformation and development of shopping centers.

Mercialys will acquire a 30% stake in Imocom Partners in 2023. The remaining 70% will be acquired in the 1st half of 2025, at the end of an intermediate period during which the current management team will support the company's development.

This transaction is subject to approval by the Autorité des marchés financiers (AMF).

Imocom Partners are advised by Bryan Cave Leighton Paisner (BCLP), with a team led by Frédéric Jungels (partner) and comprising Paul Ast (senior associate) and Eloïse Loiseau (associate) on corporate/M&A aspects, and Christine Daric (partner) and Yecine Nour (associate) on tax aspects. Imocom Partners were also advised by Rothschild & Co on the financial aspects, and by Impulsa on the accounting aspects.

Mercialys was advised by Lacourte Raquin Tatar on legal, regulatory and tax issues, and by Flichy Grangé on employment matters. Mercialys was also advised by Mazars on financial aspects.
