Summary

BCLP advised CDC Habitat on the sale of 85% of a company holding a portfolio of more than 7,600 housing units to CNP Assurances (CNP).

CNP's bid was selected following a competitive process in which some 30 French and foreign investors participated.  The CDC Habitat group retains a 15% stake in Lamartine, a company specifically set up for this transaction and managed by AMPERE Gestion, a subsidiary of CDC Habitat.

This operation amounts to euro 2.4 billion and is unique in its scale, the financial innovation at play and confirms the positioning of CDC Habitat as one of the major players in residential assets in France.

A team of BCLP lawyers, led by Partner Christine Daric and Associates Jeanne Gloor, Thomas Poiret and Yecine Nour, provided tax advice on the structuring, sale, and financing of the transaction.

Gide Loyrette Nouel advised CDC Habitat on M&A (Thomas Urlacher), real estate (Hugues Moreau), regulatory aspects (Stéphane Puel and Guillaume Goffin) and on financing (Farah El-Bsat).
